Signed vendors are governed by their Master Services Agreement and rate card. These terms cover use of our public site, intake, estimator, and returns portal, and state the standard service framework.
Custody provides third-party logistics for privacy and security hardware: receiving, serialized chain-of-custody storage, quality checks, configure-to-order assembly, pick/pack/ship, and returns processing. Services, prices, and inclusions are defined per vendor in a rate card attached to the MSA. Estimator output is a non-binding range, not a quote.
Submitting the intake form starts a scoping conversation and creates no obligation on either side. A vendor relationship begins only when both parties execute an MSA and the vendor's rate card is instantiated.
Unless the MSA says otherwise, inventory is held on consignment: the vendor retains title; we hold physical custody with documented, tamper-evident custody records. Risk of loss allocation, insurance responsibilities, and claim procedures are defined in the MSA and consignment schedule.
No hazardous materials beyond properly declared lithium batteries (UN3481/UN3480 within carrier limits), no export-controlled items without prior written disclosure of ECCN/ITAR status, no counterfeit or unlawful goods. We may refuse, quarantine, or return non-conforming inbound freight at the vendor's cost.
The returns portal authorizes a return of a device we shipped when the serial number and order email match our records. Whether return postage is prepaid is the vendor's policy. Authorization is not a refund decision — refunds, credits, and warranty outcomes are between you and the vendor.
Vendor invoices are issued monthly per the rate card; postage is funded through a prepaid wallet. Late amounts may pause outbound service after notice. Founding-partner pricing locks are honored per their terms.
Our aggregate liability for any month is capped at the fees paid for that month, except as the MSA provides for declared-value/insured shipments and gross negligence. We are not liable for carrier delays, customs decisions, or manufacturer defects.
No probing, scraping, or automated abuse of the public site, estimator, or returns portal. API usage is governed by the key's scopes and published rate limits; keys may be rotated or revoked for abuse.
These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules; the MSA's dispute clause controls for signed vendors.
